3a. Formula Intellectual Property — Custom Formulas and Proprietary House Formulas

3a.1 Definitions
For the purposes of this clause:
• “Custom Formula” means any formulation developed by Scientific Cosmetix specifically to a Client’s brief under a Custom Formulation Service Agreement.
• “House Formula” means any formulation owned and developed exclusively by Professional Hair Products Limited trading as Scientific Cosmetix, including all formulas supplied through our proprietary product catalogue.

3a.2 Custom Formula IP — Client Ownership
Where Scientific Cosmetix develops a Custom Formula for a Client, all intellectual property rights in and to that formula vest in the Client upon full payment of all applicable development and service fees, as set out in the relevant service agreement. Scientific Cosmetix retains no ownership interest in Custom Formulas following transfer.

3a.3 House Formulas — Scientific Cosmetix Ownership
House Formulas are the sole and exclusive intellectual property of Professional Hair Products Limited. House Formulas are not subject to disclosure, transfer, licensing, or assignment under any circumstances, including:
• Requests made by Clients, distributors, or any third party;
• Any supply, manufacturing, or commercial arrangement;
• Any regulatory or audit request, except where compelled by applicable law.
No supply relationship, volume commitment, or long-term commercial arrangement confers any right, title, or interest in any House Formula.

3a.4 Confidentiality of House Formulas
House Formulas constitute confidential trade secrets of Professional Hair Products Limited. Clients and third parties must not attempt to reverse-engineer, replicate, or derive the composition of any House Formula. Any such attempt constitutes a material breach of these Terms and may give rise to legal proceedings.

3a.5 No Implied Rights
Nothing in these Terms or any related agreement shall be construed as granting any implied licence or interest in any formula owned by Scientific Cosmetix, except as expressly set out in a signed Custom Formulation Service Agreement.

4. No Contractual Obligation 

The information provided on this Website is for general informational purposes only and does not constitute an offer, proposal, or guarantee of services. Any manufacturing engagement is subject to a separate written agreement between the parties. No binding contract is formed through the use of this Website or the submission of an enquiry.
